Abstract: This chapter provides the preliminary components of a contract: preamble, recitals, words of agreement, definitions, and interpretations. Additionally, the chapter explains declarations. Declarations are a core contract concept. Declarations appear in the definitions and in the general provisions. Instructors should spend time going over concise writing. The preamble should be written without archaic and wordy phrases. It just needs to state the title of the agreement, parties’ names, and date. Recitals provide background information and are optional. They are not actionable. They should not be stated with legalese. ‘Words of agreement’ is simply a phrase. Once stated, that ‘the parties agree,’ then that phrase does not need to be repeated. Definitions should be concise, but if they are intricate then they can cross-reference to the body of the contract. Interpretations state words and phrase for ease of understanding.
