Title: Should transfer of undertakings be statutory regulated in South Africa
Abstract: Die oordrag van 'n onderneming as 'n lopende onderneming behels verskeie arbeidsregtelike
implikasies en gevolge. Sommige van hierdie aspekte is 'n inherente gevolg van die verandering in
die feitelike situasie. Die arbeidsregtelike gevolge wat intree, is onder meer die gevolg van
ingryping deur wetgewing en ander regsinstrumente. In sommige jurisdiksies (byvoorbeeld Italie)
word hierdie gevolge al reeds 'n eeu en selfs langer gereguleer. Hierdie artikel ondersoek die nut en belang van sodanige regulering van oordrag van
ondernemings. Die locatio conductio operaruml/Ig is 'n persoonlike kontrak wat die vergestalting van
'n ongelyke verhouding tussen werkgewer en werknemer is. Die regulering van die oordrag van
lopende ondernemings het tot gevolg dat die oordrag van 'n onderneming nie per sel/Ig die gevolg het
dat dienskontrakte beeindig word nie. Ook in terme van die gemenereg sou dieselfde resultaat
bereik word, aangesien die oordragnemer geen regsplig gehad het om werknemers weer in diens te
neem nie. Voorts was daar ook geen plig om diegene wat wel weer in diens geneem is, met behoud
van vorige diensvoorwaardes, senioriteit, aaneenlopendheid van dienstermyn en so voorts, aan te
stel nie. Die beeindiging van die diensverhouding is 'n vertakking van die reg wat vele moontlikhede
insluit (byvoorbeeld oortolligverklaring, die sluiting van 'n onderneming, ontslagte op grond van
operasionele vereistes en oordrag van ondernemings). Die basiese doel van die reg van onbillike
ontslag is om werkers te beskerm teen ontslagte wat nie substantief en prosedureel billik is nie.
Hoewel die Nywerheidshof hierdie aangeleenthede aanvanklik onder die onbillike arbeidsprak-
tykjurisidiksie hanteer het, word dit nou deur hoofstuk 8 van die Wet op Arbeidsverhoudinge 66
van 1995 gereguleer. In hierdie hoofstuk (met lIgbeskermdel/Ig wetgewing) rakende ontslagte is veral
artikels 197 en 197A relevant. Hierdie bespreking besin gevolglik oor die doel van hierdie artikels
en argumenteer dat dit in wese gerig is op die beskerming van werkers se werksekuriteit, gevestigde
belange en regte in die werkplek. Daar word verder ook geargumenteer dat die beskerming van werknemerbelange 'n sosiaal
regverdigbare doelwit is, gesien in die lig van die feit die verhouding tussen werkgewer en
werknemer sui generisl/Ig is waar laasgenoemde die swakker party is. Aangesien maatskappyereg en
die insolvensiereg tans grootliks onbetrokke is in die bereiking van hierdie doelwit lIgmoetl/Ig die
arbeidsreg intree. Dit is noodsaaklik binne ons konstitusionele raamwerk ten einde effek te gee
aan die fundamentele reg tot billike arbeidspraktyke. Die reg tot ekonomiese vryheid moet dus
interpreteer word met inagneming van sosio-ekonomiese en ander relevante faktore in Suid-
Afrika. Daar word dus aan die hand gedoen dat bepalings wat die oordrag van lopende
ondernemings reguleer 'n nuwe sosiale waarde in die Suid-Afrikaanse arbeidsreg bekendstel - in
pas met die internasionale en supra-nasionale regulering wat elders algemeen is. Gevolglik is die
statutere regulering van die onderwerp van hierdie artikel beide noodsaaklik en geregverdig.
