Abstract: Different definitions of an independent director exist in the academic circles. An independent director should refer to such personage who doesn't hold real positions and doesn't have any direct or indirect relations with the company, except for his director position. An independent director in a China's state-owned company has the duties on being a controlling stockholder of balance-keeper, participating in its developing strategies, and supervising and restraining its directors and managers. His function orientation is different from China's board of supervisors, but taking the roles of balance-keeper, strategy, judge and supervisor in the company.
